DISTANCE SALES AGREEMENT (Non-binding English Summary)

This agreement is prepared under Turkish Law No. 6502 on Consumer Protection ("TKHK") Art. 48 and the Regulation on Distance Contracts (Official Gazette 27/11/2014, No. 29188). In the event of conflict between language versions, the Turkish text prevails.
1. PARTIES
Intermediary Service Provider: TABA TASARIM İNŞAAT A.Ş. (Extrais), Şehit Şakir Elkovan Cad. No:3, Ataşehir / İstanbul. Acting as an intermediary service provider per Law No. 6563 on Electronic Commerce ("ETDHK") Art. 2/1-f.
Buyer: The real or legal person posting a job and purchasing a freelancer service, identified via name, address, phone, e-mail, and where applicable Turkish ID (TCKN) / Tax ID (VKN) captured during checkout.
Service Provider (Freelancer): The natural person registered on the Platform who actually performs the service.
2. SUBJECT
This Agreement governs the sale of digital Credit packages by the Platform to the Buyer (job-post credits, profile-boost credits, urgent-tag credits, top-of-search credits, and identity-verification badge credits). Credits are credited to the Buyer's account electronically and instantaneously upon successful 3D Secure card capture.
The Platform does not sell the freelancer's work itself. Once the Buyer and a freelancer agree on a project on the Platform, the work fee is paid directly between them through a channel they choose (bank transfer, EFT, Payoneer, etc.). The Platform does not hold, escrow, or transfer the work fee at any point.
3. PRICE AND PAYMENT
- All prices are in Turkish Lira (TRY), VAT included.
- The Platform only sells digital credit packs (job-post credits, listing boosts, urgent flags, top-of-search placements, identity-verification badges). Credit purchases are collected by a BDDK-licensed payment service provider (iyzico in Turkey; Payoneer for EU/UK), authorised under Law No. 6493 on Payment Services. Card data never reaches the Platform (PCI-DSS L1).
- The work payment between Hirer and Service Provider is NOT collected, held, or transferred by the Platform. The parties settle the agreed amount directly between themselves (bank transfer, Payoneer, etc.). Accordingly, Platform does NOT operate a payment-intermediary or escrow service within the meaning of Law No. 6493.
- The Platform takes ZERO commission on the work payment. Credit-pack sales are the sole revenue source.
- E-invoice or e-archive invoice is issued per Tax Procedure Law (VUK) Art. 229 and General Communiqué No. 509 against each credit purchase.
4. PRE-CONTRACT INFORMATION
Per MSY Art. 5-6, before ordering you are informed in durable medium of: parties' identity, service's core characteristics, total price including taxes, payment terms, right of withdrawal and its exceptions, consumer arbitration routes, and 3-year contract retention.
5. DELIVERY
Deliveries are digital via the Platform. Default delivery window: as stated on the job; otherwise 30 days maximum. Delivery = service output uploaded to the Platform and accepted (explicitly or implicitly within 3 business days).
6. DEFECTIVE PERFORMANCE
Per TKHK Art. 13 and TBK Art. 112, 114, 116: Buyer may notify defects within 3 business days (explicit) or 6 months (hidden), with a general 2-year limitation (TKHK Art. 13/2). Remedies: free repair, re-performance, price reduction, or contract rescission.
7. RIGHT OF WITHDRAWAL — CREDITS-SCOPED
Standard 14-day withdrawal right under TKHK Art. 48/4 and MSY Art. 9 applies to credit-pack purchases. It does NOT apply to credits you have already consumed (a job posted, a listing boosted, an urgent flag activated, an identity-verification session completed by our system) per MSY Art. 15/ğ — explicitly-consumed digital content.
The work payment between Hirer and Service Provider is NOT collected by the Platform, so no withdrawal right against the Platform arises for that payment. Disputes between Hirer and Service Provider are resolved through the Platform's Dispute mechanism (identity-attestation evidence + chat-history record). Unused credit packs are fully refundable within 14 days via Support.
8. DISPUTE RESOLUTION
Consumer Arbitration Committee / Consumer Court per TKHK Art. 68 and 73. Merchant buyers: İstanbul Anadolu Commercial Courts (TTK Art. 4, HMK Art. 17).
9. MISCELLANEOUS
- Turkish text is legally binding; English is informational.
- Contract retained at least 3 years (MSY) / 10 years for accounting (VUK, TTK).
- Governing law: Republic of Türkiye.
